主板被否转战创业板IPO 稳健医疗为何迟迟叩不响A股上市之门？

管理漏洞多</span></strong></section><section><span><br  /></span></section><section><span>稳健医疗多层面被证监会重点问及：私有化退市中实控人李建全用于收购股权的资金来源，是否存在使用境内资金支付私有化费用的情形，是否取得外汇管理部门的批准等；报告期内存在较多会计差错；子公司行政处罚等。</span></section><section><span><br  /></span></section><p><p><img /></p></p><p><br  /></p><section><span>在招股书中，关于稳健医疗从美国证交所退市注销前进行的并购仅简单带过。</span></section><section><span><br  /></span></section><section><span>报告期内，公司全资子公司黄冈稳健因排放污水超标等问题，被湖北省环保厅立案查处；以及崇阳稳健、河源稳健等亦受到环保局、食药监局、海关、人力资源和社会保障局、税务部门、市场稽查局的行政处罚共计8次，涉及处罚金额合计7.52万元。和讯此前在文章《稳健医疗李建全的资本经》中就已关注过。可见，稳健医疗内控层面存在诸多管理漏洞。</span></section><section><span><br  /></span></section><p><p><img /></p></p><p><br  /></p><section><span>据招股书，发行人前身稳建实业由稳健国际贸易公司于2000年8月24日全资设立。截至招股书签署日，李建全一家通过控股的稳健集团有限公司持有发行人77.14%股份，其中，李建全持有稳健集团73.74%股份为实际控制人，亦为发行人实控人。可以看到，李建全一家拥有最大表决权。</span></section><section><span><br  /></span></section><section><strong><span>欲借“口罩”概念上市 经营存隐忧</span></strong></section><section><span><br  /></span></section><section><span>稳健医疗主营业务包括医用敷料、健康生活消费品、全棉水刺无纺布三大板块，拥有“winner稳健医疗”及“Purcotton全棉时代”两大品牌，但公司营收主要来源于以全棉时代为代表的健康生活消费品包括纯棉柔巾、全棉表层卫生巾、纯棉湿巾等无纺类及婴童用品、婴童服饰、成人服饰等纺织类。</span></section><section><span><br  /></span></section><p><p><img /></p></p><p><br  /></p><section><span>招股书显示，2017-2019年，稳健医疗实现营收分别为34.98亿元、38.39亿元、45.75亿元;实现归母净利润分别为4.27亿元、4.25亿元、5.46亿元。其中，健康生活消费品营收占比分别为62.37%、62.93%、67.18%，呈上升趋势。</span></section><section><span><br  /></span></section><section><span>值得注意的是，此次冲刺创业板，稳健医疗给自己的定位却是口罩医疗企业。</span></section><section><span><br  /></span></section><section><span>2020年初疫情爆发时期口罩需求暴增，“口罩”概念一时成为资本角逐的对象。不难看出稳健医疗此举的目的。</span></section><section><span><br  /></span></section><section><span>然而，在疫情期间，稳健医疗借助“口罩经济”之风却哄抬口罩价格，不仅强制搭售其他商品，还存在提高配送费用等行为；此外，稳健医疗还因为售卖的口罩质检不过关被监管部门多次罚款。和讯网亦在文章《疫情期间哄抬口罩价格，被监管部门抽查产品质量不合格》中关注。</span></section><section><span><br  /></span></section><section><span>此外，据黑猫投诉平台显示，稳健医疗曾多次被消费者投诉。</span></section><section><span><br  /></span></section><p><p><img
