padding: 0px; max-width: 100%; font-family: 宋体; box-sizing: border-box !important; word-wrap: break-word !important;">从实体上看,两者的关系有三方面的问题值得考虑:</span></p><p style=""><span style="margin: 0px; padding: 0px; max-width: 100%; font-family: 宋体; box-sizing: border-box !important; word-wrap: break-word !important;">一是竞业限制协议的效力是否必须以商业秘密的存在为前提。司法实践中,不同法院对这个问题有不同的看法。有的法院认为如果不存在商业秘密,竞业限制协议应该是无效的。另一种观点认为,按照劳动合同法第二十三条规定,用人单位与劳动者可以在劳动合同中约定保守用人单位的商业秘密和与知识产权相关的保密事项。用人单位与劳动者约定竞业限制,它不仅仅基于商业秘密保护的需要,还基于与知识产权相关的保密事项的需要,所以竞业限制协议的效力不以存在商业秘密为前提。笔者赞同后一种观点,竞业限制协议的效力不以存在商业秘密为前提和必要,因为竞业限制除了保护商业秘密以外,还有保护商业秘密之外的竞争优势方面的考虑。因此,即使商业秘密不存在或不构成商业秘密侵权,都不影响当事人之间竞业限制协议的效力。</span></p><p style=""><span style="margin: 0px; padding: 0px; max-width: 100%; font-family: 宋体; box-sizing: border-box !important; word-wrap: break-word !important;">二是企业不履行竞业限制协议,可否免除劳动者对商业秘密的保密义务。企业不履行竞业限制协议构成竞业限制违约行为,劳动者可以通过请求合同履行保护其相关合同权益,但不能免除劳动者对商业秘密的保密义务,因为商业秘密是企业的另一项财产性权利,它是基于商业秘密保护的法律规定产生的。</span></p><p style=""><span style="margin: 0px; padding: 0px; max-width: 100%; font-family: 宋体; box-sizing: border-box !important; word-wrap: break-word !important;">三是竞业限制协议无效是否免除劳动者对商业秘密的保密义务。总体上说,竞业限制协议与商业秘密保密协议的效力是相互独立的。当然,若从约定看,竞业限制协议无效会导致保密协议当然无效的,可免其保密义务;如果不当然无效,那么劳动者对商业秘密的保密义务仍然存在,违反保密义务实施了披露、使用原企业商业秘密等侵权行为的,需要承担相应的侵权责任。</span></p><p style=""><br /></p><p style=""><span style="margin: 0px; padding: 0px; max-width: 100%; font-family: 宋体; box-sizing: border-box !important; word-wrap: break-word !important;">从程序上看,竞业限制和保护商业秘密的关系问题实际是纠纷性质和类别问题。与这两个问题有关的纠纷可能呈现三种情况:</span></p><p style=""><span style="margin: 0px; padding: 0px; max-width: 100%; font-family: 宋体; box-sizing: border-box !important; word-wrap: break-word !important;">一是单纯的竞业限制纠纷(即上文提到的前两种情况),</span></p><p style=""><span style="margin: 0px; padding: 0px; max-width: 100%; font-family: 宋体; box-sizing: border-box !important; word-wrap: break-word !important;">二是单纯的侵害商业秘密纠纷,</span></p><p style=""><span style="margin: 0px; padding: 0px; max-width: 100%; font-family: 宋体; box-sizing: border-box !important; word-wrap: break-word !important;">三是既涉及违反竞业限制义务又涉及侵害商业秘密的纠纷(即上文提到的后两种情况)。</span></p><p style=""><span style="margin: 0px; padding: 0px; max-width: 100%; font-family: 宋体; font-size: 16px; box-sizing: border-box !important; word-wrap: break-word !important;">第一、二类纠纷实际上比较简单,第一类归入劳动争议合同纠纷中,第二类归入侵害商业秘密纠纷中,第三类案件则要根据案件本身的具体情况来判断。若存在商业秘密并构成侵权的情况下,可以归入到侵害商业秘密纠纷案件中处理。在案件处理过程中,主要审查是否构成商业秘密侵害,当然也要审查是否违反竞业限制,但主要的问题还是审查是否侵害商业秘密。假如商业秘密不存在或者不构成商业秘密侵权,仅仅是一个竞业限制纠纷,应属于上述第一类纠纷的情况,归入劳动争议合同纠纷的范围。</span><span style="margin: 0px;
